This end user license agreement ("agreement") is a legal agreement between you (either an individual or a single entity) and AdiosLife ("licensor") for the use of licensor's software application (the "software") which may be made available through the apple app store and other distribution channels.

 

By installing or using the software, you agree to be bound by the terms and conditions of this agreement. If you do not agree to the terms and conditions of this agreement, do not install or use the software.

 

1. License grant

 

Subject to the terms and conditions of this agreement, licensor grants you a limited, non-exclusive, non-transferable, revocable license to use the software for your personal, non-commercial use on any apple-branded products that you own or control and as permitted by the usage rules set forth in the app store terms of service.

 

2. Ownership

 

The software is licensed, not sold, to you for use only under the terms of this agreement. Licensor retains all right, title, and interest in and to the software, including all intellectual property rights.

 

3. Restrictions

 

You may not copy, modify, distribute, sell, transfer, or sublicense the software or any portion thereof. You may not reverse engineer, decompile, or disassemble the software or attempt to derive the source code from the software, except to the extent that such activity is expressly permitted by applicable law.

 

4. Warranty disclaimer

 

The software is provided "as is" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. Licensor does not warrant that the software will meet your requirements or that its operation will be uninterrupted or error-free.

 

5. Limitation of liability

 

Licensor shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this agreement or the use or inability to use the software (including but not limited to damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss), even if licensor has been advised of the possibility of such damages.

 

6. Termination

 

This agreement will terminate automatically if you fail to comply with any of the terms and conditions of this agreement. Upon termination, you must immediately cease using the software and destroy all copies of the software in your possession.

 

7. Governing law

 

This agreement shall be governed by and construed in accordance with the laws of the state in which licensor is located, without giving effect to any choice of law or conflict of law provisions.

 

8. Entire agreement

 

This agreement constitutes the entire agreement between you and licensor with respect to the software and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and licensor.
